Farway AI Technology Co., Ltd. ("Farway AI", "we", "us", or "our")

Welcome to Zhidatong, an AI-powered overseas marketing SaaS platform operated by Farway AI. By accessing or using our Service at https://app.farwayai.com, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you represent that: (a) you are at least 18 years old; (b) you have the legal authority to enter into these Terms on behalf of yourself or your organization; (c) you agree to comply with these Terms and all applicable laws and regulations. If you do not agree, you must not use the Service.

2. Description of Service

Zhidatong provides the following integrated marketing tools for businesses:

• Social Media Management: Connect and manage Facebook Pages, Instagram Business accounts, and TikTok accounts. Schedule and publish content, view analytics, manage comments, and track engagement across platforms.
• Website Builder: Create and manage multi-language B2B business websites with product catalogs, company profiles, news articles, certifications, and customer inquiry forms.
• AI-Powered Tools: AI content generation (copywriting, image generation, video scripts), AI customer service chatbot for business websites, and AI-powered creative workshop.
• Media Library: Upload, organize, tag, and manage marketing assets (images, videos, documents) with platform synchronization capabilities.
• Customer Relationship Management: Receive, track, and manage customer inquiries from your business website with status tracking and assignment.

3. Account Registration and Security

3.1 You must provide accurate, current, and complete information during registration and keep it updated.

3.2 You are solely responsible for safeguarding your account credentials (email and password). You must not share your account with others.

3.3 You are responsible for all activities that occur under your account, whether or not you authorized them.

3.4 You must notify us immediately at support@farwayai.com if you suspect any unauthorized access to your account.

3.5 We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Social Media Account Connection and Authorization

4.1 When you connect third-party social media accounts (Facebook, Instagram, TikTok) to our Service, you:

• Explicitly authorize us to access your account data through the respective platform's official OAuth authorization mechanism
• Authorize us to publish, edit, or delete content on your behalf only when you explicitly initiate such actions through our platform
• Confirm that you are the rightful owner or authorized administrator of the social media accounts you connect
• Accept responsibility for ensuring that your use of our Service complies with each platform's terms of service

4.2 You may disconnect any social media account at any time through the Platform dashboard. Upon disconnection, we will immediately delete the stored access tokens and cease all access to that account.

4.3 You agree to comply with the terms of service of each connected platform:

5. Content and Publishing

5.1 Your Content: You retain all ownership rights to content you create, upload, or publish through our Service. By using the Service, you grant us a limited, non-exclusive license to store, process, display, and transmit your content solely for the purpose of providing the Service.

5.2 Content Responsibility: You are solely responsible for all content published through our Service to third-party platforms. We do not review, approve, or endorse content before or after publication.

5.3 AI-Generated Content: Our AI tools generate content as suggestions and starting points. You must review, edit, and approve all AI-generated content before publication. We make no warranties regarding the accuracy, originality, appropriateness, or legal compliance of AI-generated content. You assume full responsibility for any AI-generated content you choose to publish.

6. Acceptable Use Policy

You agree that you will NOT use the Service to:

• Violate any applicable local, national, or international law or regulation
• Publish, distribute, or promote content that infringes on intellectual property rights (copyright, trademark, patent, trade secret)
• Publish spam, unsolicited commercial messages, or misleading/deceptive content
• Publish content that is defamatory, obscene, threatening, harassing, or discriminatory
• Attempt to gain unauthorized access to the Service, other user accounts, or connected third-party systems
• Distribute malware, viruses, or other harmful code through the Service
• Scrape, data-mine, crawl, or use automated tools to extract data from the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Exceed reasonable usage limits, abuse AI features, or conduct denial-of-service attacks
• Resell, sublicense, or redistribute the Service or access to it without our written authorization
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

7. Intellectual Property

7.1 The Service, including its software, design, user interface, documentation, logos, and all related intellectual property, is owned by Farway AI and protected by copyright, trademark, and other intellectual property laws.

7.2 We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

7.3 Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation or compensation to you.

8. Fees, Payment, and Subscription

8.1 Our Service may include free and paid subscription plans. Current pricing is available on our website.

8.2 We reserve the right to modify pricing with 30 days' advance notice to affected users.

8.3 Paid subscriptions are billed in advance on a recurring basis. You authorize us to charge your designated payment method.

8.4 Free tier availability, features, and usage limits may change at our discretion.

9. Service Availability and Third-Party Dependencies

9.1 We strive to maintain high availability but do not guarantee uninterrupted, error-free access to the Service. The Service may be temporarily unavailable due to planned maintenance, updates, or circumstances beyond our reasonable control.

9.2 Our Service relies on third-party APIs and services (Meta Graph API, TikTok API, Google AI, OpenAI, Alibaba Cloud). Changes, outages, or policy modifications by these providers may affect Service functionality. We are not liable for any issues caused by third-party service disruptions.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) we shall not be liable for any indirect, incidental, special, consequential, or punitive damages; (b) our total aggregate liability shall not exceed the total amount you have paid us in the twelve (12) months preceding the claim; (c) we are not responsible for actions taken by social media platforms regarding your accounts, content, or access; (d) we are not liable for any loss of data, revenue, or business opportunities arising from your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless Farway AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) content you publish through the Service; (c) your violation of these Terms; (d) your violation of any third-party rights.

14. Termination

14.1 By You: You may cancel your account at any time through Account Settings or by contacting support@farwayai.com.

14.2 By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law.

14.3 Effect: Upon termination, your access to the Service ceases immediately. We will handle your data in accordance with our Privacy Policy. Social media connections will be disconnected and tokens deleted. Any outstanding fees remain payable.

15. Governing Law and Dispute Resolution

15.1 These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

15.2 Any disputes arising from these Terms shall first be resolved through good-faith negotiation between the parties.

15.3 If negotiation fails within 30 days, disputes shall be submitted to the competent court in the jurisdiction where Farway AI is registered.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Farway AI.

16.2 Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.

16.3 Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger or acquisition.

17. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes via email and/or in-app notification at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
